AIP-277: Re-evaluating ApeCoin DAO Special Council Salaries Structure

I have seen roles which are purely cash compensation and others like the one listed below:

20% in USD
80% in listed company stock. However it is given as restricted stock units.

Subject to the approval of the Compensation Committee, Consultant will be granted RSUs with a grant value equal to USD XXX. The number of shares of Class A Common Stock subject to the RSUs grant will be equal to the grant value divided by the closing price per share on the grant date (as reported on the NYSE), rounded down to the nearest whole number. Provided that Consultant (replace as Special Council member) continues in active service with the Company (replace APECOIN DAO) or an entity of the Company through each vesting date, the RSUs will vest in equal quarterly installments over the 12-month period following the grant date, subject to Consultant’s continued service. Vesting will also be subject to Consultant refraining from committing any action or omission that would constitute “Cause” (as defined in the Plan). In addition to the terms described above, the RSUs will be subject to the terms and conditions set forth in the Company’s 2020 Equity Incentive Plan and the Company’s standard form of RSU agreement, which Consultant will be required to accept. Although management of the Company will recommend to the Compensation Committee that Consultant be granted the RSUs on the terms set forth herein, by execution of this Agreement, Consultant acknowledges that Consultant has no right to receive the RSUs, or any right to have the RSUs subject to the specific terms set forth herein, unless the grant is approved by the Compensation Committee.
