1. Is the Ape Foundation expected to engage in any of the steps of the AIP implementation? If so, please specify the steps and elaborate on how it is expected to work.

We don’t believe it’s necessary at this stage as we have plenty of experience developing and promoting IPs. However, we’d definitely like to involve you, especially if you have any suggestions or support to offer for the next phase, which involves the specific development of the tech platform for IP funding and management as mentioned in your following question:

2. “In the next stage for this project, we plan to tokenize the IPs and build technology to facilitate the regulation for off and on-chain relationships.”

a.) Please describe in detail your plans for this IP tokenization.

We plan to tokenize the IPs within the first 6 months after the publication of the first episode. All 5 IPs funded through this AIP will be bundled in a single tokenization event. We will distribute 50% of the tokens to the ApeCoin DAO. We will use a service like Aragon for minting and token distribution purposes and tokens will represent profit-sharing rights.

b.) Please describe in detail this “technology to facilitate the regulation for off and on-chain relationships.”

Our vision for the platform is a system that will create contract templates to generate off-chain agreements that regulate profit-sharing rights for each IP. The authenticity of these agreements will be secured by storing their registration certificates on IPFS. Additionally, we’ll mirror these agreements on-chain through Smart Contracts to manage the profit-sharing automatically. Input data for Smart Contract execution will be sourced from an oracle.

It’s worth mentioning: the development for this platform is outside the budget proposed for this AIP. However the IP Tokenization Event falls under the timeline and budget for this AIP. For the platform, we have been working on defining the scope for this technology over the past months, and we plan to launch the development of a Minimum Viable Product (MVP) once we publish the last episode of these IPs. As stated in Question 1, input and guidance from the ApeCoin DAO community could greatly benefit this project.

c.) Would there be a token generation event funded by the grant you are requesting?

Yes.

3. “The APE Community will own 50% of the IPs (including all derivatives, ancillary, royalties and direct income) funded through this AIP.”

a.) Please define the “APE Community.”, do you mean the ApeCoin DAO and it’s members?

Yes. By “APE Community,” we specifically refer to the ApeCoin DAO and its members. This community is at the core of our proposal and its intended benefits.

b.) Would “direct income” refer to “gross revenue,” “net revenue,” or “net income?” (The preference of the Foundation in the past has been gross revenue).

Given that the $380,050 USD AIP budget is already tight for the production, casting, promotion and Tokenization Event of the IPs (as outlined in the Budget and in Question 2), it would be too risky for us to split the gross revenue without first deducting taxes, legal fees, and costs from negotiations with VOD platforms, which might include travel and other expenses. Therefore, we’re leaning more towards net income.

That said, we fully understand that you’re the ones taking the financial risk on this project. So, we’d be open for the ApeCoin DAO recouping the $380,050 investment by taking 100% of the gross income until that amount is reached. Only after we pass this threshold, we’d transition to a 50/50 split of the net revenue, (meaning a “Liquidation Preference + Participation Rights” structure). We believe this approach strikes a fair balance for both parties.

c.) Is there an expected schedule for the distribution of revenue back to the APE Community?

While it’s tough to pin down exact timelines before the project kicks off. However, drawing from our prior experience, we are confident that revenue generation will begin within a year after the release of any podcast under this AIP and possibly less.

As an additional note, we are already in talks for a first-look contract with an L.A.-based audiovisual production companies regarding these IPs.

d.) Who do you propose will own the remaining 50% of the IPs funded through this AIP?

The remaining 50% will be owned by DIXO (25%) and Medios Modernos (25%).

e.) Have these IP’s already been created, or how do you plan to transfer 50% of ownership of these IP’s to “the APE Community”?

All concepts, treatments, synopses, and character development have been fully written and created and are just waiting for greenlight to proceed with IP registration. To safeguard all involved parties’ interests, we will draft and sign a private off-chain contract among the ApeCoin DAO legal entity, DIXO, and Medios Modernos, split 50%/25%/25%.

This private contract will precede any IP registrations and be represented on-chain via the subsequent tokenization event, as outlined in question 2.a).

For the IP registrations, we suggest registering in the European Union, where a single, cost-effective step offers broad intellectual property protections. These protections automatically extend globally through the Berne Convention and the Paris Act of 1971. However, if there’s another jurisdiction you feel more comfortable with, we’re completely open to exploring that option too.

4. “Every podcast episode will include a mention of the APE Foundation.” Given that it is the ApeCoin DAO that would be deciding on your proposal (the APE Foundation is the steward of ApeCoin, serving to facilitate the DAO’s will), do you mean to refer to the “ApeCoin DAO” here too?

Indeed, our intention is to acknowledge the ApeCoin DAO as the driving force behind this project in each podcast episode, as well as any other APE-associated entities that you deem relevant. Our goal is to ensure proper recognition and alignment with the broader APE ecosystem’s objectives.

5. “Products or Brands made by Apes will have a free 20-second spot…” To be clear, “Made by Apes” is a Yuga Labs entity, with whom we have no direct affiliation. Would you perhaps consider giving this spot to products or brands accepting/incorporating ApeCoin and/or to Accepted AIP Authors?

Definitely yes.

6. “Products that aren’t made by Apes but have a direct relation with the ApeCoin DAO will have a 70% discount of market price.” Please clarify what you mean by a “direct relation with the ApeCoin DAO.” AIP-274: Powered by ApeCoin may be a helpful reference to update this qualification.

What we’re proposing here is to offer any member of the ApeCoin DAO the opportunity to promote, sell, market, or sponsor their products or services—with a 70% discount of the current ad CPM (cost-per-mille) market price. (Even if not APE related and as long as they comply with the ApeCoin General Guidelines).

Also, after reviewing AIP-274, we’d certainly like to include the “Powered by ApeCoin” logo on the cover art of every IP funded by this AIP, as well as an audio “Powered by ApeCoin” voiceover at the end of each podcast episode, as a part of the credits. This ensures a consistent and visible partnership branding across all media.

7. “Interactive Q&A sessions with the ApeCoin team and community members.” How would these team and community members be chosen, and how would the community be notified?

We plan to use the General Section of the forum.apecoin.com (#Podcast and #Spanish) as soon as a new episode is published, enabling all members of the Apecoin DAO to interact, comment, vote, poll, fact-check and/or suggest new topics.

8. Who will be responsible for writing the scripts for ApeCoin episodes, and how do you plan to verify the accuracy of the information being presented?

Upon revisiting our AIP Draft, we recognize that our explanation of the ApeCoin Standalone podcast was poorly explained. Please allow us to clarify:

Medios Modernos will be responsible for the Standalone ApeCoin podcast outline, scripts, voice and/or zoom recordings and post-production of each episode.

In order to deal with both Spanish and English, we plan to produce 20 episodes in each language for a total of 40 episodes.

Given our stance that direct translations often fall short of conveying the true essence of content, we’ve decided to set up two separate RSS feeds: one for English and one for Spanish. This approach involves inviting 10 experts who are English speakers and 10 who are Spanish speakers, each to participate in an episode tailored to their expertise, formatted as a chat show. If an episode features an English-speaking guest, its Spanish counterpart will be delivered as a standalone audio explainer with no guests, and vice versa.

By “explainer” we mean a 10 to 15-minute script with info, data, facts and references written by the Medios Modernos team (who has a Web3 expert fact-checker on staff) and curated by the guest and/or the director.

The suggested episode topics and schedule (order is not definitive) are detailed as follows:

9. How will guest speakers be chosen, and have you confirmed any speakers at this time?

We’re committed to featuring only experts and guests who are well-versed in the topics of each episode.

So far, we’ve secured commitments from the following distinguished guests:

In Spanish:

Jesus Bermudez: Web3 Entrepreneur with a high understanding of blockchain and cryptocurrencies. He is currently ETH LATAM organizer in Honduras.

Cristian Espinoza: One of the first enablers of ETH in Honduras. Currently the head of ETH Honduras organization.

Paola Paz: She has been involved in blockchain activities for more than 8 years.

Marcos Cohen, Renato Carregha, Juan Carlos Belair, and Dulce Villareal are also on board.

In English:

Raul Jordan: Raul is the co-founder of Off Chains Labs (formerly Prysmatic Labs) acquired by Off Chains Labs in 2022. He has vast experience of the blockchain ecosystem. Currently based in Austin, Texas.

10. Each ApeCoin episode would be produced in both English and Spanish, including guest speakers.

a.) Will each episode’s content be recorded independent of the other from a content standpoint (for example, unique guest speakers brought in for each language offering their unique insight on a shared topic), or will the alternative language version of each episode be a translated version of the same transcript?

Yes, they will be recorded independently as answered in Question 8.

b.) If episodes are translated versions of the same script, how do you plan to ensure the accuracy of these translations across episodes?

They will not be translated as answered in Question 8.

11. Would your platform/s require users or token holders to connect wallets, and if so what are the plans for security audits?

Yes, our platform will require users to connect their wallet, and for that purpose we plan to use Wagmi. https://wagmi.sh/

12. As per the ApeCoin General Guidelines, “proposals will not be put up for vote if they involve illegal activity, hate speech, pornographic material, or are at odds with the mission or values of the APE Foundation.” Can you ensure that the content of each podcast would be in keeping with these guidelines?

Is the intention of your proposal to return value back to the Treasury, or to provide returns directly to individual DAO members?

Definitely, our priority is to first return value back to the Treasury (full $380,050 from gross revenue). We’ll then proceed with the distribution based on the 50-25-25 split among the ApeCoin DAO, Dixo, and Medios Modernos. This is intended to ensure that all parties benefit fairly and equitably in the evolving landscape of decentralization (a philosophy we fully support).

As stated before, while it’s tough to pin down exact timelines before the project kicks off; based on our previous experience, we’re confident that revenue will start rolling in within the year following any of the podcasts’ releases.

Our priority is to first return value back to the Treasury (full $380,050 from gross revenue). We’ll then proceed with the distribution based on the 50-25-25 split among the ApeCoin DAO, Dixo, and Medios Modernos.

2. Please describe how the proposed token would return revenues to individual token holders. Include details covering which ApeCoin DAO members would receive the tokens, how holders would claim these revenues, how holders would be notified of initial distribution and revenue deposits, proposed revenue distribution schedule, and any other details relevant to this IP Tokenization.

IP Tokenization Communications and Tokenomics

Communication Plan:

A Discord server will be used for:

  • News and updates.
  • Quarterly investor reports.
  • Revenue Information.

DAO Member Distribution:

The distribution of tokens will be to all Ape Coin Holders and it will happen via a smart contract, following a snapshot and wallet registration process to verify token ownership. A portion of the billion tokens will be set aside for future use to align with new ApeCoin emissions.

Token Creation and Distribution:

2 billion tokens will be created in total.

  • 1 billion tokens will be allocated to match the existing supply of ApeCoins on a 1:1 ratio.
  • ApeCoins holders will be able to claim these tokens via a smart contract.
  • Remaining unclaimed tokens will be reserved to match any future issuance of new ApeCoins.
  • The other 1 billion tokens will be split evenly between Dixo and Medios Modernos, with 500 million each.
  • Token distribution to these two entities will be vested (released over time).
  • 50% (250 million) will be distributed at the start of the IP productions.
  • Remaining 50% (250 million) will be distributed upon completion of productions.

NOTE: We’d like to highlight that this project not only grants current worldwide ApeCoin holders the right to a proportional share of the IPs and their future earnings, but it also opens up new possibilities for:

a)⁠ ⁠Creative professionals and spanish speaking audiences who hadn’t previously considered ApeCoin among their crypto options, who will now be exposed to it through the development and publishing of the IPs.

b)⁠ ⁠Current ApeCoin holders, who are encouraged to increase their holdings to boost their returns through this dual opportunity.

c)⁠ ⁠Furthermore, as all podcasts funded by this AIP will carry the ApeCoin brand, it naturally draws in new potential buyers.

This not only makes it more attractive to potential ApeCoin newcomers who may be drawn in by the content we create, but also promotes further investment from those who already own ApeCoins.
