Info And Docs Request From Ape Foundation
Informational
It has come to the attention of the ApeCoin DAO community that there exist certain legal contracts and agreements that the Ape Foundation is subject to. However, the ApeCoin DAO community has no insight into these contracts and docs, nor to their content and obligations.
In order to avoid instances such as what happened with AIP-277 whereby the AIP could not move forward due to Ape Foundation contracts that the authors were not privy to, we need to be able to request [KYC redacted] docs from the Ape Foundation pertaining to the operation of the DAO as well as the parties (e.g. Webslinger) who work obo the DAO.
This goes toward transparency because as a DAO, we have the right to be aware of, and have acces to, any/all contractual obligations executed obo the DAO and by the Ape Foundation.
As per US law precendent, every single member of this DOA has a legal liability. If you don’t have insurance and this DAO gets sued, you’re screwed. You can read more about that here, here, and here.
On 12/30/22, AIP-199 was created. It was sent to admin review and tossed back due to deficiencies as observed by the SC.
AIP-199: Hire Independent Ethics Managers
On Feb 7, 2023, this RFP went up:
Request for Proposal: Cayman Islands Administrator for the APE Foundation
After bids were submitted, and Webslinger won the bid as per their pitch
Formal Bid: APE Foundation Cayman Administrator
In their proposal, they cited this:
“Crestbridge Cayman Limited delivers a wide range of services including Foundation Company administration, fund governance, corporate services and administration, accounting, compliance, reporting and trustee services to asset managers, corporates, institutions, family offices, and the digital asset community.”
I believe that the hiring of Webslinger to handle such compliance, negates the purposes of the aforementioned AIP-199. Which is probably why the author never re-submitted it.
To that end, and as the DAO - that being all of us here - has already paid for and is entitled to this data, my AIP is a formal request for the production of this material.
The immediate benefit is such that, transparency aside, the DAO community would be privy to the legal obligations of the DAO as well as the legal committments made by the Ape Foundation obo the DAO.
-
The Ape Foundation is to setup a secure docs repository (e.g. Dropbox, GoogleDrive, DocSend or similar) for the storage of ALL docs [redacted for KYC confidentiality] executed by it with all third-party individuals, corporations and entities regardless of their location and jurisdiction. This would also include the DAO formation docs in the Cayman Islands.
-
The Ape Foundation will continue to update the aforementioned doc repository with new docs as they are created and/or updated.
-
The Ape Foundation will publish (similar to the DAO handbook) a Discourse page or document listing each document in item #1 above:
- The purpose of the document
- The name(s) of the parties
- The parties & signatories to said document
-
The Ape Foundation, upon the request of a DAO member, will provide an expiring link to the required docs repository.
-
The Ape Foundation will provide a copy of the full and complete AUDITED accounting of the Ape Foundation treasury finances since it’s inception up to the date of the preparation.
The Ape Foundation has 30 days to fully implement the steps required by this AIP.
There are no costs involved in this AIP as there are individuals already hired by the ApeCoin DAO to facilitate such requests.
